| Reportable, Flexible, Efficient... |

Publicly traded companies and SEC registrants are all too familiar with the
obstacles associated with Sarbanes-Oxley compliance efforts. Most executives
and auditors who endured the rigors of Year 1 compliance will agree that just
gaining an understanding of the requirements imposed by the legislation and the
external audit forms has been a monumental task in itself. The lack of an
affordable, flexible compliance tool tailored toward Sarbanes-Oxley compliance
has only compounded the problems associated with this costly, time-consuming
effort. With few options available, most organizations have been left to their
own devices, being forced to rely on a system composed of nothing more than
volumes of unrelated spreadsheet, word processing, and text files stored on a
corporate file share. This process is inefficient, insecure, and inaccurate and
it provides little chance of recognizing opportunities for business-process
improvements.

Complyant's goal is to solve these problems with a web-based tool that has
extensive reporting capabilities, version control, document management,
automated decision trees, and a simplified end-user interface. The tool is much
more than just a document management system or a generic audit database that
has been repackaged to capitalize on Sarbanes-Oxley. It was built specifically
for internal controls auditing and it brings full version control and structure
to the audit process while providing templates filled with content that is
relevant to a company's industry. Complyant can be used for companies that are
managing their internal controls audits, companies preparing for an external
audit, or consulting or auditing firms that are conducting controls audits on
behalf of their clients. For each situation, the tool will increase accuracy,
enable extensive reporting, provide audit guidance, and reduce manual labor
resulting from the maintenance of volumes of unrelated Word and Excel documents
that must be carried over from year to year.

While Sarbanes-Oxley has been a burden for most companies, it can also provide
opportunities for business-process improvement. We built the tool with Sarbanes
Oxley Compliance in mind, but we also built it in a way that our clients can
also recognize opportunities for business process improvement and capitalize on
them.
